Fill in a quick form to start a free name search. This is to check if your proposed company name still available on SSM database (Please note that the name approval is entirely at SSM discretion eventhough the name is not available in SSM database).

2. Provide Registration Info

Once a name search is successful, continue to fill in the registration form that can be completed in just 15 minutes on your computer and make RM500 non-refundable initial payment for us to proceed with name search application with SSM.

3. Your Company Registered!

After the proposed company name is approved by SSM, we will require your approval to proceed with registration of company with balance payment. We will get your company registered in as short as 3 working days.

5 Requirements to Form a Malaysia Company

  • A minimum paid-up capital of RM1 only.
  • A minimum of one (1) subscriber to the share(s) of the company.
  • A minimum of one director who are at least 18 years of age and is residing in Malaysia. He/she is not a bankrupt and has not been convicted and imprisoned for a period of past 5 years.
  • A minimum of one Company Secretary (Company Secretary must be a member of any one of the prescribed professional bodies or licensed by the SSM).
  • Must have a registered office in Malaysia to which all communications and notices may be addressed. We offer complimentary use of our office as the registered office.

Disclaimer & Explanation

Our secretarial team will perform search in SSM e-Info system on your proposed new company. Your authorisation and payment are required before we proceed to submit the name search application with SSM. We do not guarantee or promise if your company’s name will be approved even no one is using it as there are possible reasons that SSM may reject the name application.

Name Approved by SSM

Once name reservation is approved by SSM, we will prepare incorporation form/document based on the details & scanned IC provided by you. If you wish to change any information of the directors & shareholders or structures of the company, please notify us when or before new setup team call on name search result. Any re-preparation of documents due to change in directors’ or shareholders’ details or company structures, after the documents have been prepared by us, will result in additional charge of RM200.

Signing at our Office

The directors and promoters must be present in our office to sign the form of Section 201 for his appointment as director/promoter before incorporation of corporation. If he is unable to attend to our office, Form 48A for absentees must be attested by the Commissioners for Oaths at your costs. If he is not in Malaysia, he can sign the said form in front of the Notary Public. The Notary Public who attests the signature should insert the law relating to oath taking of that country as well as affix his official seal or stamp on the Form of Section 201.

Raising Capital & funds

A Sdn. Bhd. is easier to obtain funds and raise capital as the Companies Act 2016 requires its accounts to be audited and certified. Hence, the account is reliable and trustworthy.

Please note that a Sdn. Bhd. can opt for audit exemption.

A Sole Proprietor is relatively harder to raise capital and funds as the accounts need not to be audited.
Income tax rateFirst RM 500,000 chargeable income taxed at 17%. Subsequently, the tax rate is 24% for all chargeable income.

Please note that Sole Proprietor itself is not subject to tax.

However, it is the individual who owns the Sole Proprietor (Owner) is subjected to tax. The tax rate is in accordance with personal tax rate. Currently, raging from 0% to 28%

Please note that Foreigners cannot set up a Sole Proprietorship. They are only allowed to set up a Sdn. Bhd.

2. Requirements for setting up a Sdn. Bhd.
  • Minimum one resident director
  • Minimum one shareholder (Malaysian/Foreigner/Body Corporate)
  • Minimum one Company Secretary who is certified and licensed under the Companies Commission of Malaysia
  • We propose that the minimum capital to be RM1.00
3. Requirements for being a Director
  • A director shall be a natural person who is at least 18 years old
  • A person shall not be bankrupt and have not been convicted of an offence in relation to the promotion, formation, management of a corporation, bribery, fraud or dishonesty
4. Can a Foreigner be the Resident Director

Yes, provided he is:

  • A permanent resident;
  • His principal place of residence is in Malaysia with valid employment pass; or
5. Licensing Requirement

If the Sdn. Bhd. is majority owned by a Foreigner or Body Corporate owned by Foreigner, it may be subjected to certain licensing requirements before it can carry out any business activities.

The following are the list of activities among others set out by the Ministry of Domestic Trade and Consumer Affairs and it is not exhaustive:

6. What is the information required for incorporation?

The following information are required for incorporation:

  • Proposed company names with its meaning
  • Principal business activities of the proposed company
  • Photocopy of all directors and shareholders NRIC or Passport
  • Latest proof residential address of all directors such as utility bills (if different from NRIC)
  • Paid-up capital information
  • Business occupation, email and contact number of all directors and shareholders
  • Percentage of shareholding of each shareholder
7. Is the price shown inclusive all disbursement and payment to government?

8. How is the incorporation process works?
  1. You are to fill up all the fields as require in the E-Incorpz.
  2. Our experience staff will response within 24 hours in respect of the proposed name.
  3. If you have decided to incorporate the company, kindly deposit RM500 non-refundable initial payment into our bank account the package you have chosen, scan and email the deposit slip to us.
  4. Soonest after the receipt of the payment, our experience staff will lodge with the Companies Commission of Malaysia for the application of proposed name.
  5. Soonest we have obtained approval from the Companies Commission of Malaysia, our experience staff will within 24 hours prepare all the incorporation documents for execution based on information furnished as below (6).
  6. You are to fill up the required information and upload the ICs and any other documents (if required) for incorporation purpose.
  7. The executed incorporation documents will be lodged with the Companies Commission of Malaysia within 24 hours.
  8. The issuance Notice of Registration will indicate the completion of incorporation.

1. What are the preparation needed before commencing business?
  1. Appointment of trusted Company Secretary, Auditor and Tax agent

2. How frequent of a company to lodge its annual return to the Companies Commission of Malaysia?

Sec 68 of the Companies Act 2016 requires the directors to lodge the annual return of a company for each calendar year not later than 30 days from the anniversary of its incorporation date.

3. Must a company lodge its audited financial accounts to the Companies Commission of Malaysia?

Sec 248 of the Companies Act 2016 requires the directors to prepare financial statements within 18 months from the date of incorporation and subsequently within 6 months of the financial year end.

Sec 259(1)(a) requires the directors to lodge the audited financial statements within 30 days from the date of circulation of the audited financial statements to his shareholders, auditors, debentures holders or any other person who is entitle to receive notice of general meeting.

In the case of a public company, Sec 259(1)(b) requires the directors to lodge the audited financial statements within 30 days from the date of its annual general meeting.

4. What are the other responsibilities of a company and its board of directors?

On top of the requirements from the Companies Act 2016, a board of directors are to ensure proper compliance in EPF, Socso, Income Tax, GST / SST and any other which may concern the business of the company.
